TERMS OF SERVICE AGREEMENT

PLEASE READ THESE TERMS AND CONDITIONS (“TERMS” OR “AGREEMENT”) CAREFULLY. THE CUSTOMER (hereinafter “CUSTOMER,” “YOU,” or “YOUR”) MAY ACCEPT THESE TERMS BY: (A) CLICKING TO ACCEPT OR AGREE TO THESE TERMS, WHERE THIS OPTION IS MADE AVAILABLE TO YOU IN THE USER INTERFACE FOR ANY SERVICE; OR (B) BY ACTUALLY USING OUR PRODUCTS, SOFTWARE, SERVICES, OR WEBSITES (COLLECTIVELY, THE “SERVICES”). YOU UNDERSTAND AND AGREE THAT WE WILL TREAT YOUR USE OF THE SERVICES AS ACCEPTANCE OF THESE TERMS FROM THAT POINT ONWARD. IF YOU’RE SIGNING UP ON BEHALF OF AN ORGANIZATION, YOU CONFIRM YOU HAVE AUTHORITY TO DO SO. YOU WARRANT AND ATTEST THAT YOU ARE AT LEAST THIRTEEN (13) YEARS OF AGE, AND, IF YOU ARE BELOW THE LEGAL AGE TO FORM A BINDING CONTRACT WITHIN YOUR JURISDICTION, HAVE PERMISSION FROM YOUR PARENT OR GUARDIAN TO USE OUR SERVICES.

DEFINITIONS

“Administrators” means the staff members, volunteers, and other authorized individuals at the Customer organization who create and manage accounts, configure the Services, and otherwise act on Customer’s behalf in administering the Services.

“End Users” means the individuals who access or use the Services through Customer’s deployment, including congregation members, volunteers, and other individuals interacting with Customer’s branded interfaces, but excluding Customer’s Administrators.

“User Content” means any content, communications, data, or materials posted, uploaded, streamed, or otherwise submitted through the Services by Customer, its Administrators, or End Users.

PART A — GENERAL TERMS

A.1 THE SERVICE

These Terms apply to everything we offer, including our directory and household management tools, event and service planning features, volunteer scheduling systems, media synchronization, and mass communication tools.

A.2 USER CONTENT AND ACCEPTABLE USE

The Services may allow you to post, upload, send communications, or stream content (“User Content”). We have the right to refuse any User Content. You agree that we, at our sole discretion, have the right to screen, reject, or remove any User Content, or portion thereof, posted to our servers that infringes our, or any third party intellectual property or other rights, violates these Terms or our other policies, or is otherwise objectionable.

You agree that you will only submit information through the Services to any person, including without limitation, to your End Users, that you do not have reason to believe is false or misleading.

A.3 LIMITATION OF LIABILITY

IN NO EVENT SHALL WE OR ANY OF OUR CORPORATE AFFILIATES, INDEPENDENT CONTRACTORS, SERVICE PROVIDERS, OR CONSULTANTS BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF USE, LOSS OF OPPORTUNITY, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY RELATED TO OR CONNECTED WITH ANY USE OF THE SERVICES.

PART B — CUSTOMER TERMS

B.1 SMS MESSAGING AND APPLICABLE COMMUNICATION LAWS

The Services include features that enable Customers to send mass SMS text messages to congregation members, volunteers, staff, and other individuals through our platform (“Customer SMS Messages”). Your use of these messaging features is subject to the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, applicable state communications laws, and wireless carrier requirements. Accordingly, where Customer uses the SMS messaging features:

Customer is solely responsible for determining the legal requirements applicable to its SMS communications and for complying with all applicable federal and state laws and wireless carrier guidelines.

Customer is solely responsible for obtaining all consent required by applicable law from message recipients prior to sending SMS messages, and for maintaining records of such consent.

Customer must provide and honor compliant opt-out mechanisms for all Customer SMS Messages, including processing all “STOP” and similar opt-out requests promptly in accordance with applicable law and carrier requirements.

We provide the SMS delivery infrastructure as a technology platform only and are not the “sender” or “initiator” of Customer’s messages for purposes of applicable communications law.

Customer agrees to indemnify and hold us harmless from any claims, fines, penalties, or liabilities arising from Customer’s SMS communications.

B.2 VOLUNTEER MANAGEMENT AND BACKGROUND CHECKS

The Services include tools to track volunteer preferences, blackout dates, and background check status. Customer acknowledges that the Services only provide tracking and organizational tools; the Services do not perform background checks. Customer is solely responsible for conducting appropriate and legally compliant background checks on volunteers, especially those interacting with minors or vulnerable individuals.

B.3 MEDIA AND YOUTUBE API SERVICES

Our media tools use YouTube API Services to allow media items and playlists to be synchronized to your account. By using our media synchronization features, you are also agreeing to be bound by the YouTube Terms of Service ([suspicious link removed]) and the Google Privacy Policy (https://policies.google.com/privacy).

B.4 CHILDREN’S DATA AND COPPA COMPLIANCE

The Services include household directory features that may be used to collect, store, or process personal information of children under the age of 13 (“Children’s Data”). Where Customer uses such features, Customer acknowledges and agrees that:

Customer is solely responsible for complying with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501–6506, and all applicable laws governing the collection and use of personal information from or about minors.

Customer is solely responsible for obtaining verifiable parental consent prior to collecting, storing, or processing any Children’s Data through the Services
